Terms of Service

These Terms of Service ("Terms") govern your use of Nebula Commander Cloud (the "Service"), a hosted version of the open-source Nebula Commander software, provided by The Bearded Tek ("we", "us"). By creating an account or using the Service you agree to these Terms. If you use the Service on behalf of an organization, you confirm you are authorized to bind that organization, and "you" means that organization.

1. The Service

We provide you with a dedicated Nebula Commander instance at a subdomain of nebulacdr.net (your "Instance"). This includes hosting, a sign-in service, TLS certificates, backups and software updates. The Service is the control plane only. Nebula lighthouses, relays and nodes run on infrastructure you provide, and your overlay network traffic does not pass through our servers.

Nebula Commander is open-source software licensed under the MIT License. These Terms cover the hosted Service, not your rights to the software itself.

2. Your account

You must give accurate contact information and keep it up to date. You are responsible for all activity in your Instance, including the users you invite and the devices you enroll. Keep your credentials and the certificates and keys issued by your Instance secure, and tell us promptly at support@beardedtek.com if you believe your Instance has been compromised.

3. Fees and payment

The Service is billed in advance on a recurring basis at the price shown on our pricing page at the time you subscribe or, if you choose "name your own price", at the amount you choose (not less than the minimum shown), plus applicable taxes. You can change a chosen amount from your account page; the change applies from your next billing period. Paying more than the standard price does not change the Service you receive. Payments are processed by Stripe. By subscribing you authorize recurring charges to your payment method until you cancel.

We may change prices with at least 30 days' notice by email. A change takes effect from your next billing period after the notice period.

If a payment fails, we and Stripe will retry it and notify you. If payment is still outstanding after the retry period, we may suspend your Instance until it is paid.

Except where required by law, fees are non-refundable and partial periods are not refunded.

4. Cancellation and deletion

You can cancel at any time from your account page. Your Instance stays available until the end of the current paid period and is then suspended. We keep a suspended Instance's data for 30 days after your subscription ends so that you can resubscribe or ask for an export. After that we permanently delete the Instance. Remaining copies in our encrypted backups expire according to the retention periods in our Privacy Policy.

We may suspend or terminate the Service for you immediately if you materially breach these Terms, including the acceptable use rules below, or if we are required to by law. Where reasonable, we will give you notice and a chance to fix the problem first.

5. Acceptable use

You will not use the Service to:

  • break any law, or infringe or misappropriate anyone's rights;
  • run or coordinate malware, botnets, unauthorized access to systems, or network attacks;
  • interfere with or disrupt the Service or other customers, including by probing, scanning or load testing our infrastructure without our written permission;
  • get around usage limits, suspension or other technical measures;
  • resell the Service as a standalone hosting offering without our written permission.

6. Your data

You keep all rights to the data you put into your Instance ("Customer Data"). You give us permission to host, copy, back up and process Customer Data only to provide, secure and support the Service. We handle personal information as described in our Privacy Policy.

You are responsible for having the right to put Customer Data into the Service, and for having your own backups of anything that matters to you. We back up Instances nightly, but backups are a safeguard, not a guarantee.

7. Availability, support and changes

We aim to keep the Service available and to fix problems quickly. We do not currently offer a service level agreement. We may need to take the Service down for planned maintenance, and we will try to give notice when we can. Support is by email at support@beardedtek.com on a reasonable-efforts basis.

We may update the Nebula Commander version your Instance runs, and we may change or discontinue features of the Service. If we discontinue the Service entirely, we will give you at least 30 days' notice and a way to export your data.

8. Disclaimers

The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.

9. Limitation of liability

To the fullest extent permitted by law:

  • neither party is liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, arising out of these Terms or the Service;
  • our total liability for all claims relating to the Service is limited to the amounts you paid us for the Service in the 12 months before the event giving rise to the claim.

Some jurisdictions do not allow certain limitations. In those jurisdictions our liability is limited to the extent the law permits.

10. Indemnity

You will defend and indemnify us against third-party claims that arise from your Customer Data or from your use of the Service in breach of these Terms or the law.

11. Changes to these Terms

We may update these Terms. If we make a material change, we will email you at least 30 days before it takes effect. If you keep using the Service after that, you accept the updated Terms. If you don't agree, cancel before the change takes effect.

12. General

These Terms are governed by the laws of Palmer, Alaska, USA, without regard to its conflict of laws rules. The courts located there have exclusive jurisdiction over any dispute, unless your local consumer law gives you the right to bring proceedings where you live.

If any provision of these Terms is unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition or sale of the Service. These Terms are the entire agreement between you and us about the Service.
